Neobank Upgrade applies for industrial loan company charter
The neobank Upgrade has applied for an industrial loan company (ILC) charter, American Banker reported. It is the latest nonbank financial firm to seek an unconventional bank charter as the administration pushes to bring more of them into the regulatory fold. An ILC is an insured bank whose parent company sits outside Federal Reserve holding-company supervision; in exchange, the parent makes commitments to the Federal Deposit Insurance Corporation (FDIC), which decides whether to insure the bank's deposits. A chartered Upgrade would hold insured deposits of its own and compete for them directly. No agency decision has been reported.
▸The FDIC's ILC record this year: The FDIC approved deposit insurance for four ILCs in 2026: Ford Credit Bank and GM Financial Bank in January, Edward Jones Bank in February and Stellantis Bank USA in May. None of the four has opened. Each order lapses 12 months after its date unless extended.
▸A filing, not an approval: Upgrade joins a queue of nonbanks seeking charters. Revolut and Nubank, for example, hold conditional Office of the Comptroller of the Currency (OCC) approvals for full-service national banks that still need FDIC and Fed sign-off.

REGULATORY DEVELOPMENTS
The CFTC's crypto notice reached the Federal Register, which starts its comment clock, and the Fed named a new payments chief.
▸CFTC crypto notice, comment clock starts: The Commodity Futures Trading Commission's (CFTC) October 5 advance notice on retail crypto trading rules, Regulation Crypto Asset Transactions and Regulation Crypto Asset Markets, published in the Federal Register today. Comments close December 14.
▸New Fed payments chief: Federal Reserve Financial Services named Kim Robbins, a Kansas City executive, to succeed Mark Gould, Payments Dive and the Business Journals reported. She starts in November.
INDUSTRY AND AI SIGNALS
▸Big banks open earnings: JPMorgan Chase, Citigroup, Wells Fargo and Goldman Sachs report today, with bond losses, trading revenue and AI financing in focus, Reuters' Morning Bid said. Citi is also seeking a quick resolution of its remaining US regulatory burdens, Reuters reported.
▸Markets this morning: The 10-year Treasury yield was 5.19 percent, down 5 basis points and below its one-year high of 5.31 percent on October 5. Nasdaq futures fell about 0.5 percent as AI chip stocks slid. Crude fell about 2 percent to near $92 a barrel, even as CNN and Middle East Eye reported another tanker hit in the Strait of Hormuz. Cleveland Fed President Beth Hammack backed keeping policy restrictive, Reuters reported. CPI is due Wednesday.
▸AI scrutiny from supervisors: Banking watchdogs are stepping up scrutiny of artificial intelligence as stability fears mount, The Straits Times reported, citing sources; the report names no US agency. It follows Monday's Financial Stability Board letter to the G20, which listed AI among the risks to watch. Neither imposes an obligation on US banks.
▸Bank and fintech deals: Nebraska's Pinnacle Bancorp agreed to buy SouthStar Bank, extending its Texas presence beyond Dallas-Fort Worth into Austin and the central part of the state, Banking Dive reported. Terms were not disclosed. Ramp reportedly raised $1.85 billion at a $60 billion pre-money valuation in a round led by Dragoneer and Thrive Capital, The Paypers reported. Semafor reported that Nigerian fintech OPay is readying a $4 billion New York IPO.
WHAT'S COMING
▸Small-bank exam cycle, comments close tomorrow: Comments on the OCC's proposal to expand the examination cycle for certain small insured institutions, and for US branches and agencies of foreign banks, close October 14.
WHAT IT MEANS
▸Upgrade's filing puts a third nonbank route to a charter in play, and it is the only one that keeps the parent outside Fed supervision. Avant took the de novo route on September 19, applying for a full-service OCC charter that also requires FDIC insurance. TabaPay is taking the acquisition route; comments on its application to become a bank holding company for Transact Bank, N.A. (91 FR 58122) close October 14, one day out, and the Fed reviews that parent. An ILC parent answers to the FDIC instead. Sponsor banks with large consumer-lending programs should watch how the FDIC handles this filing as the measure of how quickly that route moves.
